ABA's bank directors workshop series of training tools helps community bank board members understand and handle their changing responsibilities. Unit One: Director Fundamentals
What are the duties of a director, and what qualities make board members effective? This unit explores director professionalism in all its facets, including the duties of loyalty and care. It is an excellent introduction to what it means to be a bank director.

Unit Two: Board Policies & Procedure
Quorums. Bylaws. Committees. Bank boards operate under a complex and ever-changing set of rules and procedures. This unit examines the operational framework for effective boards and provides an overview of board committee structures.

Unit Three: The Role of the Audit Committee
This pivotal committee assumes even greater stature under the new corporate governance framework set forth by Congress in the Sarbanes-Oxley Act. This unit examines best practices for evaluating outside auditors, reviewing and discussing the audit plan, and determining how to act on auditors' recommendations. It also reviews the role of the board's "financial expert."

Unit Four: The Board's Role in Strategic Planning
Board members can play a vital role in helping management make changes in strategic direction. This unit provides a roadmap, including guidance on how to set goals and objectives and measure results.

Unit Five: Understanding the Balance Sheet
This unit provides an overview of the essential elements of a bank's financial statements, including capital, funding, and allocation of assets. Includes numerous examples and definitions to help non-bankers navigate the numbers.
